Terms of Service (Free Level)

Thank you for using Semiocast application programming interfaces ("Semiocast API"). By accessing and using Semiocast API, you or the entity or company that you represent ("You") explicitely agree to comply with and be bound by the following terms and conditions ("Terms of Service"). If you disagree with any of these terms, Semiocast does not grant You a license to use Semiocast API. Semiocast reserves the right to update and change these terms from time to time without notice. Your license to Semiocast API under these terms continues until it is terminated by either party. You may terminate the license by discontinuing use of all the Semiocast API. Semiocast may terminate the license as of right at any time for any reason. Semiocast shall not be liable to You or any third party should Semiocast exercise its right to modify, terminate or discontinue Semiocast API or part of it. Your rights to use Semiocast API terminate automatically as of right if (i) You violate any of these terms, (ii) Semiocast sends a notice of termination to You by e-mail, or (iii) Semiocast disables access to the API to You.

Semiocast API are owned by Semiocast and are licensed to You on a worldwide, non-exclusive, non-sublicenseable, non-transferable, royalty-free basis on the terms and conditions set forth herein. These terms define legal use of the Semiocast API. All rights not expressly granted to You are reserved by Semiocast.

1. Restrictions

This license is subject to the following restrictions:

  • All calls to Semiocast API must be performed with the API certificate issued to You.
  • You agree to keep Your API certificate confidential and not to share it with any third party. This license is personal to You and any affiliates must seek and obtain their own license and API certificates. You may not sell, lease, share, transfer or sublicense Semiocast API or access thereto.
  • Your use of Semiocast API is subject to certain limitations on access, calls as set forth on developer.semiocast.com or as otherwise provided to you by Semiocast. If Semiocast reasonably believes that you have attempted to exceed or circumvent the rate limits, your ability to use Semiocast API may be temporarily or permanently blocked.
  • You agree to evaluate and bear all risks associated with Your use of Semiocast API, including any reliance on the accuracy, completeness, or usefulness of Semiocast API and the risks of unauthorized access.
  • You agree not to attempt to circumvent any security measures or technical limitations of Semiocast API.
  • You agree not to use Semiocast API in a manner that exceeds reasonable request volume or constitutes excessive or abusive usage.
  • You agree not to use Semiocast API in a way that harms the interests of Semiocast, any of its affiliates, Semiocast API or other users of Semiocast API.
  • You further agree not to otherwise reproduce, decompile or reverse engineer any portion of Semiocast API.
  • You shall not create an Application that may be used to violate the Terms of Service or other site policy.
  • You shall not disparage Semiocast or knowingly tarnish the name reputation, image or goodwill of Semiocast in connection with Your Application or use of Semiocast API.
  • You agree to immediately report any security deficiencies You discover to Semiocast by emailing api at semiocast.com.

2. Attribution

You must display attribution on Your service, client application, website or any piece of software that uses Semiocast API and its documentation. The attribution shall be done with a mention such as "This service uses Semiocast Technology." and with an approved Semiocast Technology logo. If applicable, the logo shall link directly to http://semiocast.com/. Logos cannot be resized or edited in any fashion.

The attribution shall not suggest that Semiocast endorses You or Your use of Semiocast API.

3. Acceptable Use

You agree not to use Semiocast API in any way that is unlawful, or harms Semiocast, its service providers, its suppliers or any other person.

4. Data

You agree not to use Semiocast API in a way that would not respect Your legal obligations in particular regarding Personal Data. For performance reasons, Semiocast may cache the data You submitted to Semiocast API for up to 48 hours, and You agree not to submit any data that Semiocast would not have the right to cache for this period.

5. Intellectual Property of Semiocast API

Semiocast API are the property of Semiocast, and subject to the intellectual property rights of Semiocast and its licensors. Your license to use Semiocast API does not grant You any further right to any Semiocast intellectual property, included, but not limited to, any patents owned by Semiocast and its licensors.

6. Disclaimer of Any Warranty

SEMIOCAST DOES NOT REPRESENT OR WARRANT THAT ANY SEMIOCAST API AND ANY DATA RETURNED BY SEMIOCAST API ARE FREE OF INACCURACIES, ERRORS, BUGS, OR INTERRUPTIONS, OR ARE RELIABLE, ACCURATE, COMPLETE, OR OTHERWISE VALID.

SEMIOCAST API ARE PROVIDED "AS IS" WITH NO WARRANTY, EXPRESS OR IMPLIED, OF ANY KIND AND SEMIOCAST EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AVAILABLILTIY, SECURITY, TITLE AND/OR NON-INFRINGEMENT.

YOUR USE OF SEMIOCAST API IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE THAT RESULTS FROM THE USE OF ANY SEMIOCAST API INCLUDING, BUT NOT LIMITED TO, ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA.

7. Limitation of Liability

SEMIOCAST SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH USE OF SEMIOCAST API, WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE, PRODUCT LIABILITY OR OTHERWISE), OR ANY OTHER PECUNIARY LOSS, WHETHER OR NOT SEMIOCAST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER NO CIRCUMSTANCES SHALL SEMIOCAST BE LIABLE TO YOU FOR ANY AMOUNT.

8. Exclusions and Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 6 AND 7 WILL APPLY TO YOU TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Relationship of the Parties

Notwithstanding any provision hereof, for all purposes of the Terms of Service, You and Semiocast shall be and act independently and not as partner, joint venturer, agent, employee or employer of the other. You shall not have any authority to assume or create any obligation for or on behalf of Semiocast, express or implied, and You shall not attempt to bind Semiocast to any contract.

10. Hold Harmless and Indemnity

You agree that Your use of Semiocast API is at Your own risk and, to the maximum extent permitted by applicable law, You agree to hold harmless, defend (subject to Semiocast's right to participate with counsel it selects) and indemnify Semiocast and its subsidiaries, affiliates, officers, agents, employees and suppliers from and against any and all claims, damages, liabilities, costs and fees (including reasonable attorneys' fee) arising from, or in any way related to Your or Your end users' use or implementation of Semiocast API or any content obtained from Semiocast API. You will not agree to any settlement that imposes any obligation on Semiocast without Semiocast's prior consent.

11. Invalidity of Specific Terms

If any provision of the Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision and the other provisions of such documents remain in full force and effect.

12. Location of Lawsuit and Choice of Law

The Terms of Service and the relationship between You and Semiocast shall be governed by the laws of France without regard to its conflict of law provisions. You and Semiocast agree to submit to the personal and exclusive jurisdiction of the courts located in Paris, France, including in the case of plurality of defendants, action on a warranty or guarantee or any third party proceedings, and/or summary proceedings.

13. No Waiver of Rights by Semiocast

Semiocast's failure to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision.

14. Miscellaneous

The section headings contained in this agreement are included for convenience only, and shall not limit or otherwise affect the terms of the Terms of Service. Any construction or interpretation to be made of the Terms of Service shall not be construed against the drafter. The Terms of Service constitute the entire agreement between Semiocast and You with respect to the subject matter hereof.

15. Survival

Sections 5, 6, 7, 10, and 15 will survive any expiration or termination of these Terms of Service for any reason.
